Terms of Service - ACEBRIDGE

1. Acceptance of Terms

By installing, accessing, or using the ACEBRIDGE Customs Compliance Chrome Extension ("the Extension"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Extension.

These Terms constitute a legally binding agreement between you and ACEBRIDGE LLC ("we," "us," or "our").

2. Description of Service

The Extension provides:

AI-powered assistance for U.S. customs compliance questions
Access to CSMS (Cargo Systems Messaging Service) database search
Screenshot OCR (Optical Character Recognition) for error message analysis
Document search across regulatory compliance materials

The Extension is designed for use by customs brokers, importers, and compliance professionals.

3. Eligibility

To use the Extension, you must:

Be at least 18 years of age
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Extension under applicable laws
Have authorization from your organization (if using on behalf of a company)

4. Account Registration

To access the Extension's features, you must:

Create an account through our authentication provider (Clerk)
Provide accurate and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account.

5. Acceptable Use

You agree to use the Extension only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Extension for any illegal or unauthorized purpose
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the Extension or its servers
Upload or transmit viruses, malware, or other harmful code
Use automated systems (bots, scrapers) to access the Extension
Reverse engineer, decompile, or disassemble the Extension
Share your account credentials with others

6. Intellectual Property

6.1 Our Intellectual Property

The Extension, including its design, features, code, and content, is owned by ACEBRIDGE and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Extension for its intended purpose.

6.2 Third-Party Content

The Extension provides access to regulatory documents, CSMS messages, and other content from U.S. Customs and Border Protection (CBP) and other government agencies. This content is publicly available and subject to government usage terms.

6.3 Your Content

You retain ownership of any queries, screenshots, or other content you submit to the Extension. By using the Extension, you grant us a limited license to process your content solely for the purpose of providing the service.

7. Disclaimer of Warranties

IMPORTANT: The Extension provides AI-generated responses based on regulatory documents and is intended for informational purposes only. It does NOT constitute legal, customs brokerage, or professional advice.

THE EXTENSION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACEBRIDGE SHALL NOT BE LIABLE FOR ANY:

LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE EXTENSION
DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
DAMAGES RESULTING FROM ANY THIRD-PARTY CONDUCT OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless ACEBRIDGE and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Extension
Your violation of these Terms
Your violation of any third-party rights
Any content you submit to the Extension

10. Professional Advice Disclaimer

The Extension is NOT a substitute for professional advice.

Always consult with a licensed customs broker, attorney, or qualified professional for specific compliance matters. The AI-generated responses are based on publicly available regulatory documents and may not reflect the most current regulations or apply to your specific situation.

You acknowledge that:

Customs regulations change frequently
AI responses may contain errors or omissions
The Extension does not replace human expertise
You are responsible for verifying all information before acting on it

11. Termination

We may terminate or suspend your access to the Extension at any time, with or without cause, and with or without notice, including for:

Violation of these Terms
Fraudulent, abusive, or illegal activity
Non-payment (if applicable)
Extended periods of inactivity

You may terminate your account at any time by uninstalling the Extension and contacting us to delete your account.

Upon termination:

Your right to use the Extension will immediately cease
All provisions of these Terms that should survive termination will survive

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

Updating the "Last Updated" date
Displaying a notice in the Extension
Sending an email to registered users (for significant changes)

Your continued use of the Extension after changes constitutes acceptance of the modified Terms.

13. Governing Law and Disputes
